WISELY: TERMS AND CONDITIONS OF USE

The following Terms and Conditions of Use (the “Terms of Use”) govern your downloading, installation and use of ADP’s Wisely application, including any updates, modifications or changes thereto (the “Application”). It is important that you read and understand these Terms of Use before downloading, installing and/or using the Application, as by downloading, installing and/or using the Application, you indicate that you accept and agree to be bound by these Terms of Use. Additionally, these Terms of Use contain an arbitration provision that limits your rights to bring a claim against us. If you do not agree to these Terms of Use, including the arbitration provision, then do not download, install and/or use the Application.

THE APPLICATION IS BEING OFFERED AS A PROOF OF CONCEPT. ADP DOES NOT ANTICIAPTE APPLICATION FAILURES, BUT CANNOT ENSURE THAT ERRORS WILL NOT BE FOUND OR THAT THE OPERATION OF THE APPLICATION WILL BE UNINTERRUPTED.

The Application is owned or licensed to you by ADP, LLC. References herein to “we”, “us”, “our” or “ADP” are references to ADP, LLC.

You may not use the Application or any of the Services offered therein, and you may not accept these Terms of Use, if you are not at least 16 years of age and, in any event, of a legal age to form a binding contract with ADP. If you accept this Agreement, you represent that you have the capacity to be bound by it or, if you are acting on behalf of a company or other corporate entity, that you have the authority to bind such company or entity.

Before you continue, you should print or save a local copy of this Agreement for your records.

Changes to the Terms of Use. ADP may, from time to time and upon notice to you, in ADP’s sole discretion, amend and update these Terms of Use. Your continued use of the Application following such notice constitutes your acceptance of the then-current version of these Terms of Use.

Description of the Application. The Application provides money management functionality that, among other things, may allow you to: create a budget, set savings goals for specific purchases and implement a direct deposit from your wages to a general purpose reloadable prepaid card to track your spending (collectively, along with any additional functionality that the Application may provide in the future, the “Functionality”). The Application may also provide information and/or access to select related additional services and may also provide you general tips, recommendations and educational material.

The Application may also present you information relating to other ADP or third party products or services (“Additional Offerings”) which are subject to additional terms and conditions; including but not limited to cardholder terms which will govern your receipt and use of a general purpose reloadable prepaid card. Your use of the Additional Offerings shall be governed by the applicable terms and conditions and not by these Terms of Use. You should review and agree to the terms and conditions of these Additional Offerings before using these sites or services. ADP does not have any control over the Additional Offerings, and ADP assumes no responsibility for services provided or material created or published on by those Additional Offerings. ADP is not responsible for, and does not prepare, edit, or endorse, the content, advertising, products, or other materials on or available from any website owned or operated by a third party that is linked to via the Application. The fact that ADP has provided access to the Additional Offerings does not constitute an implicit or explicit endorsement, authorization, sponsorship, or affiliation by ADP with respect to such Additional Offerings or its owners or providers. You will use any such Additional Offerings at your own risk and you agree that ADP is not liable for any loss or damage that you may suffer by using Additional Offerings or any content, advertising, products, or other materials in connection therewith.

The Application does not provide financial advice. NEITHER ADP NOR THE APPLICATION IS INTENDED TO PROVIDE LEGAL, TAX OR FINANCIAL ADVICE. ADP IS NOT A FINANCIAL PLANNER, BROKER OR TAX ADVISOR. The Application and Functionality are for informational and noncommercial purposes only to assist you in your financial organization and decision-making and do not replace seeking advice from your accountant or other legal, tax or financial adviser who are fully aware of your individual circumstances. You alone will bear the sole responsibility of evaluating the merits and risks associated with the use of the Application before making any decisions based on the Application. ADP shall not be liable for any possible claim for damages arising from any decision you make based on the Functionality made available to you through the Application.

Limited license and restrictions on use. We grant you a limited, revocable, nonexclusive, nontransferable license to download, install and use the Application and the Functionality contained therein on a single, authorized mobile device and to otherwise access the Application from your desktop via the internet owned and/or controlled by you solely for the purpose of performing those functions and tasks available to you as a user of the Application for your personal, informational and noncommercial use. You are responsible for obtaining and maintaining all equipment, services, and other materials that you need to access the Application. We reserve all rights not expressly granted in these Terms of Use.

You agree not to use the Application in violation of any applicable law or other contractual obligation you may have, including with ADP or any third party. Except as otherwise stated in these Terms of Use or as expressly authorized by us in writing, you may not (or enable others to):

Registration. To use the Functionality offered via the Application, if you do not already have an active account with ADP to utilize its applications provided to you through your employer, such as ADP Vantage, Workforce Now or ADP Mobile Solutions, you may need to create an account with ADP which may include establishing a username and a password that may be subject to separate terms. If you do not have or create active ADP credentials, and you establish your own Application credentials, then you will be able to access and use the Application, however, you will not have access to any features of the Application that rely upon real-time updates from ADP hosted data. You may need to provide us with certain personal and other information. ADP may verify your email address before your account can be used. You agree to provide ADP with current, complete, and accurate information about you as prompted by the applicable registration process and agree to regularly update this information to maintain its completeness and accuracy, and you represent that you are a legal owner of all registration and account information and other information necessary to facilitate your use of the Application. You agree to use the Application to access only those accounts on which you are authorized to act, and you agree to use your own user names, passwords, and security questions and answers when accessing accounts on which you are authorized to act.

You are responsible for maintaining the confidentiality of any account information, user names, logins, passwords, and security questions and answers that you use to access any Functionality via the Application. Further, you are fully responsible for all activities occurring under your accounts, user names, logins, and passwords. If you become aware of any suspicious or unauthorized conduct concerning your accounts, user names, logins, passwords, or security questions and answers, you agree to contact ADP immediately. ADP will not be liable for any loss or damage arising from your failure to comply with this paragraph.

User Content. You agree that you are solely responsible for all information, data, content, text, photographs, graphics, images, videos, messages, comments, quotations, files, documents, and any other materials that you submit, upload, post, e-mail, transmit, or otherwise make available via the Application ("User Content"). By submitting, uploading, posting, e-mailing, or transmitting User Content via the Application, you represent and warrant that either you own all right, title, and interest in and to the User Content or have express permission from the owner to copy and use such User Content for all purposes related to the Application. ADP does not control and is not responsible for the User Content uploaded via the Application.

You grant ADP a perpetual, worldwide, irrevocable, nonexclusive, fully-paid up, royalty-free, sublicensable, and transferable right and license to use, store, modify, adapt, translate, publish, display, broadcast, perform, disclose, distribute, sell, reproduce, and create derivative works from any User Content, in whole or in part, in any medium or technology throughout the world, including any inventions, concepts, techniques, know-how, ideas, or expressions of ideas arising out of or based on the User Content, for any purpose in ADP’s sole discretion, without the requirement of any permission from or compensation or notice, and without liability, to you or any third party. ADP shall exclusively own all right, title, and interest in and to any derivative works or inventions created by or on behalf of ADP that incorporate or otherwise make use of any User Content, without the requirement of any permission from or compensation or notice, and without liability, to you or any third party.

Fees. Although ADP provides the Application free of charge, your use of the Functionality therein or Additional Offerings may be or may become subject to charges or fees. Any fees charged by ADP will be announced separately in connection with the applicable Functionality. Additionally, use of the Application may involve transmission of data through your mobile service provider’s network. Prices listed within the Application do not include possible data transmission, text message, voice or other service provision charges by your mobile service provider. ADP assumes no responsibility for the payment of any charges of your mobile service providers.

Consent to Electronic Communications and Costs. You agree to the use of electronic communications and to transact business electronically, including the submission of what you may consider to be personal financial information, through the Application.  You consent to our contacting you using the Applications and communicating using text messages, e-mails, and other electronic technologies at the telephone numbers and e-mail addresses that you provide to us.  These communications may relate to the Application or your other relationships with ADP or its affiliates or may consist of promotion and marketing materials. In each case, you consent to such transmission or communication, as the case may be. 

Privacy. Your use of the Application and Functionality is governed by the ADP Wisely Privacy Statement, which you can view ADP Wisely Privacy Statement and access from within the Wisely application under Settings. Any information you provide to MB Financial Bank, N.A. in connection with issuance of the general purpose prepaid value card may be used by MB Bank in accordance with its privacy policy MB Privacy Policy. You agree to the ADP Privacy Statement, and any changes published by ADP. You agree that ADP may use and maintain your data according to the ADP’s Privacy Statement. ADP may use your information for either commercial or non-commercial purposes without any renumeration to You; which may include purposes other than providing the Application but only in an aggregated, anonymized form, such that you may not be identified, and you will have no ownership interest in such aggregated, anonymized data.

ADP may access or store User Data in multiple countries, including countries outside of your own country to the extent permitted by applicable law. You acknowledge that the Services may include advertisements. Advertisements may be targeted to the content or information stored on the Application, queries made through the Application, or other information.

Online and Mobile Alerts. ADP may from time to time provide automatic alerts and voluntary account-related alerts. Automatic alerts may be sent to you following certain changes to your account or information. Voluntary account alerts may be turned on by default as part of the Application. They may then be customized, deactivated or reactivated by you.

You understand and agree that any alerts provided to you through the Application may be delayed or prevented by a variety of factors. ADP may make commercially reasonable efforts to provide alerts in a timely manner with accurate information, but cannot guarantee the delivery, timeliness, or accuracy of the content of any alert. ADP shall not be liable for any delays, failure to deliver, or misdirected delivery of any alert; for any errors in the content of an alert; or for any actions taken or not taken by you or any third party in reliance on an alert.

Electronic alerts, including push notifications, will be sent to the email address or mobile number you have provided for the Application. If your email address or your mobile number changes, you are responsible for informing us of that change. Alerts may also be sent to a mobile device that accepts text messages. Changes to your email address and mobile number will apply to all of your alerts.

Alerts are not encrypted and thus anyone with access to your email will be able to view the content of these alerts. At any time you may disable future alerts.

WARRANTY DISCLAIMER. THE APPLICATION AND ALL FUNCTIONALITY THEREIN IS PROVIDED BY ADP “AS IS”, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADP AND ITS AFFILIATES EXPRESSLY DISCLAIM ANY WARRANTY, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, NON-INTERRUPTION OF USE, AND FREEDOM FROM ERRORS, VIRUSES OR ANY OTHER MALICIOUS CODE. ADP AND ITS AFFILIATES FURTHER DISCLAIM ANY WARRANTY THAT THE RESULTS OBTAINED THROUGH THE USE OF THE APPLICATION, THE FUNCTIONALITY OR ADDITIONAL OFFERINGS WILL MEET YOUR NEEDS. EXCEPT AS PROVIDED BY LAW, ADP DOES NOT HAVE ANY RESPONSIBILITY TO MAINTAIN THE APPLICATION OR FUNCTIONALITY OR TO SUPPLY CORRECTIONS, UPDATES, OR RELEASES FOR THE SAME.

Limitation of Liability. USE OF THE APPLICATION AND FUNCTIONALITY IS AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR MOBILE DEVICE OR OTHER EQUIPMENT, OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD, INSTALLATION OR USE OF THE APPLICATION.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL ADP OR ITS AFFILIATES BE LIABLE FOR PERSONAL INJURY OR ANY DIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT OR OTHERWISE) AND EVEN IF ADP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT ANY JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU AND ADP’S LIABILITY SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW IN SUCH JURISDICTIONS.

In no event shall ADP’s total liability to you for all damages exceed the amount of fifty dollars ($50.00). The foregoing limitations will apply even if the above stated remedy fails of its essential purpose.

Export. You may not use or otherwise export or re-export the Application except as authorized by United States law and the laws of the jurisdiction in which the Application was obtained. In particular, but without limitation, the Application may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the Application, you represent and warrant that you are not located in any such country or on any such list. You also agree that you will not use these products for any purposes prohibited by United States law, including without limitation, the development, design, manufacture or production of nuclear, missiles or chemical or biological weapons.

Trademarks or Service Marks. Certain proprietary marks of ADP or third parties may be designated as such from time to time on the Application through use of the TM, SM, or ® symbols. You are not authorized to make any use of such marks, including but not limited to, as metatags or in any other fashion that may create a false or misleading impression of affiliation or sponsorship with or by ADP or the applicable third party.

Governing Law; Venue and Jurisdiction. These Terms of Use and your use of the Application shall be governed by and construed in accordance with the laws of the state of New Jersey, without regard to conflicts of laws provisions. You agree that (1) any and all disputes and causes of action arising out of or connected with these Terms of Use and the Application shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the JAMS Comprehensive Arbitration Rules and Procedures and held at the JAMS regional office nearest to you; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. Any dispute you may have with respect to your use of the Application and the related Functionality must be commenced within one (1) year after the cause of action arises. If for any reason a court of competent jurisdiction finds any provision of these Terms of Use, or a portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to affect the intent of these Terms of Use, and the remainder of these Terms of Use shall continue in full force and effect. These Terms of Use constitute the entire agreement between ADP and you with respect to the Application and supersede all prior or contemporaneous communications, agreements and understandings between ADP and you with respect to the subject matter hereof.

Apple-Required Terms

Acknowledgement: You acknowledge that these Terms of Use are entered into with ADP only, and not with Apple, Inc. (“Apple”). To the extent set forth herein, ADP, and not Apple, is responsible for the Application and the content thereof. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support with respect to the Application.

Warranty. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Application, and ADP will be solely responsible for any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty set forth in these Terms of Use.

Product Claims. You acknowledge that ADP, not Apple, is responsible for addressing any of your claims or any third party claims relating to the Application or your possession and/or use of the Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.

Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third Party Beneficiary. You acknowledge and agree that Apple and its subsidiaries are third party beneficiaries to these Terms of Use and that upon your acceptance of these Terms of Use, Apple will have the right (and will deemed to have accepted the right) to enforce these Terms of Use against you as a third party beneficiary thereof.

Privacy Statement for Wisely with ADP™

This Privacy Statement explains how we use and disclose “Personal Information” that ADP collects from people who use the Wisely with ADP™ mobile application (the “App”). This Privacy Statement also applies to our former customers, for so long as we maintain their Personal Information.

ADP has a Global Privacy Policy that applies to all ADP companies worldwide. This Privacy Policy requires ADP, LLC and its affiliates to respect privacy and protect the Personal Information that is entrusted to it. This Privacy Statement explains how ADP collects, uses and discloses Personal Information in connection with the Wisely mobile application. Other ADP companies have their own privacy statements, although their practices are always governed by the ADP Global Privacy Policy.

  1. How We Collect Personal Information
  2. This Privacy Statement explains our practices with regard to “Personal Information” collected by ADP in connection with the Wisely mobile application (the “App”). Personal Information is any information that can be used to identify, locate or contact you. Personal Information also includes other information that may be associated with your Personal Information.

    The Wisely mobile application is designed to help you to better manage your finances and control spending by providing access to a set of tools whereby you may set up budgets and savings goals. Wisely is accompanied by a reloadable General Purpose Reloadable (“GPR”) prepaid card that you may direct a portion of your net pay in the form of a payroll deduction and use the card to spend such funds. You may also fund the reloadable GPR prepaid card through your bank account by providing your debit card account information into Wisely. Wisely will not store your bank account credentials or account information.

    When you register to use the Wisely mobile app, we confirm your Personal Information such as name, address, email, phone number and last 4 digits of SSN by asking you to provide your Personal Information or authenticate yourself using your ADP login credentials. We may also collect other information such as your demographic (such as age, home address, income range, etc.) and pay statement information using the ADP login credentials for the purpose of suggesting a budget plan personalized for you.

    As you interact with us online, we use cookies and other technological tools to collect information about your computer and your use of our website and applications. We treat this information as Personal Information when it is associated with your Contact Information. For more information about cookies and other technologies, please see the section Cookies and Other Data Collection Technologies below.

  3. How ADP uses Personal Information
  4. ADP uses your Personal Information to provide the Wisely services, and for related activities, such as product and service delivery, customer service, account management, support and training and to provide other services related to your relationship with ADP.

    ADP, LLC may provide you with marketing communications to help you to better understand your spending patterns and habits. You may always opt-out of receiving our marketing communications.

    We also use your Personal Information to manage our everyday business needs, such as payment processing and financial account management, product development, contract management, website administration, forum management, fulfillment, analytics, security and fraud prevention, corporate governance, reporting and legal compliance, and business continuity.

  5. Why Personal Information is disclosed by ADP and your rights to limiting sharing
  6. ADP understands that you do not want to us to provide your Personal Information to third parties for their own marketing purposes. We limit our sharing of your Personal Information as follows:

    • We may share your Personal Information as needed to complete any transaction or provide any service you have requested or authorized.

    • We may share your Personal Information with our affiliates, which may only use your Personal Information for the purposes listed above, but which will not use your Personal Information for marketing unless you have consented to that use.

    • We may share your Personal Information with our service providers, who are bound by law or contract to protect your Personal Information and only use your Personal Information in accordance with our instructions.

    • We may share your Personal Information with business partners, but only to the extent you have consented to the sharing, such as by purchasing product or service from such partner or otherwise authorized the sharing. For example, if you purchase services from ADP’s partners, we may offer you the ability to pre-fill those companies’ forms with Personal Information from ADP. We may also share information with partners as needed for reporting and referral validation.

    • We may share your Personal Information as needed for our everyday business purposes including, for example, as needed to enforce our rights, protect our property, or protect the rights, property or safety of others, or to support external auditing, compliance and corporate governance functions.

    • We will always share your Personal Information when required to do so by law, such as in response to a subpoena, including to law enforcement agencies and courts in the United States and other countries where we operate.

    • We may also share your Personal Information where needed to affect the sale or transfer of business assets. In this the recipient would be bound by the terms of this Privacy Statement.

  7. Cookies and Other Data Collection Technologies and Analytics
  8. When you visit our website or use our mobile applications (including the Wisely App), we collect certain transaction information by automated means, using technologies such as cookies, pixel tags, browser analysis tools, server logs and web beacons.

    For example, when you visit our website, we place cookies on your computer. Cookies are small text files that websites send to your computer or other Internet-connected device to uniquely identify your browser or to store information or settings in your browser. Cookies allow us to recognize you when you return. They also help us provide a customized experience and enable us to detect certain kinds of fraud. In many cases, you can manage cookie preferences and opt-out of having cookies and other data collection technologies used by adjusting the settings on your browser. All browsers are different, so visit the “help” section of your browser to learn about cookie preferences and other privacy settings that may be available.

    We collect many different types of information from cookies and other technologies. For example, we may collect information from the device you use to access our website or mobile application, your operating system type, browser type, domain, and other system settings, as well as the language your system uses and the country and time zone where your device is located. Our server logs also record the IP address assigned to the device you use to connect to the Internet. An IP address is a unique number that devices use to identify and communicate with each other on the Internet.

    In many cases, the information we collect using cookies and other tools is only used in a non-identifiable way, without any reference to Personal Information. For example, we use information we collect about all website users to optimize our websites and to understand website traffic patterns.

    In some cases, we do associate the information we collect using cookies and other technology with your Personal Information. For example, when you use the App we will associate a unique identifier with your Personal Information so that we can understand how long you spend using the App and what pages you visit. This Privacy Statement applies to the information when we associate it with your Personal Information. ADP uses third-party vendor Mixpanel. ADP and/or Mixpanel may collect personally identifiable information about you (including your first name; email and telephone number) to optimize your use of the Wisely services. For information on how Mixpanel uses data please visit https://mixpanel.com/privacy.

    ADP has relationships with third party advertising companies to place advertisements on this website and other websites, and to perform tracking and reporting functions for this website and other websites. These third party advertising companies may place cookies on your computer when you visit our website or other websites so they can display targeted advertisements to you. These third party advertising companies do not collect Personal Information in this process, and we do not give any Personal Information to them as part of this process. However, this Privacy Statement does not cover the collection methods or use of the information collected by these vendors.     Third Party Advertising Companies and Browser Tracking

    ADP does not collect third party online behavioral web browsing information (data collected over time across web sites owned or operated by different entities for purposes of delivering advertising based on preferences or interests known or inferred from the data collected) for use by ADP or our clients for advertising purposes (often referred to as Online Behavioral Advertising or OBA). ADP does, however, use third-party advertising vendors that use first-and third-party cookies to gather information as individuals interact with ADP's and other websites.

    You may set your computer's Internet browser settings so you will be notified when you receive any third party cookie, which includes ADP's cookies, and be given the choice to block the cookie. In addition, there are also other controls within certain browsers or available through third parties that enables more extensive blocking of cookies. Some new browsers have a 'do-not-track' feature. When this feature is turned on, ADP treats this as if you had opted out of our online advertising products.   9. Location Based Data and Push Notifications
  10. When you download the Wisely application, you may choose to allow us to obtain your precise location from your mobile device. We use this information to deliver personalized content to you and for our internal analytics purposes.

    We may also offer automatic (or "push") notifications. We will provide push notifications only to those individual who opt-in to receive such notifications from ADP. You do not have to provide precise location information to ADP or enable push notifications to use any of our mobile apps. If you have questions about location and notification privacy, please contact your mobile service provider or the manufacturer of you device to learn how to adjust your settings.

  11. Your Choices
  12. You can always limit the information you provide to ADP. You can also limit the communications that ADP sends to you. To opt-out of commercial emails, simply follow the unsubscription instruction of any email we send you.

    Please note that even if you opt-out of promotional emails, we may still need to contact you with important transactional information about your account. For example, even if you opt-out of emails, we may still send you activity confirmations and account statements.

If you send us a letter, please provide your name, address, email address, and information about the communications that you do not want to receive.

If you have an online account, you can log into your account at any time to access and update the information you have provided to us.   20. From time to time, we may update this Privacy Statement to reflect new or different privacy practices. We will place a notice online when we make material changes to this Privacy Statement.
